CORPORATE & BUSINESS LAW

The firm serves as counsel to businesses in all aspects of their operations. The firm's clients include corporations (for-profit and not-for-profit) limited liability companies, partnerships, sole proprietorships and joint ventures. We counsel our clients efficiently at all stages of development, from planning and initial formation through growth and expansion to disposition through sale or merger. We strive to become familiar with our clients' business objectives and procedures, allowing us to advise them both in daily operations and in matters of major impact.

MERGERS AND ACQUISITIONS

Mr. Galt has represented clients in mergers and acquisitions, including publicly traded companies and corporations acquiring business units of other companies. The firm becomes involved at the very earliest stages of an acquisition, from negotiating a term sheet through drafting a formal letter of intent. Mr. Galt works side-by-side with his clients in the due diligence phase of an acquisition, either responding to due diligence requests of the acquiring entity or performing the due diligence examination on behalf of a buyer. Mr. Galt works with clients to help them understand difficult issues that often surface in a due diligence examination and which threaten to stall a transaction. The focus of the firm is on finding practical solutions to difficult issues.

Mr. Galt is a North Carolina State Bar Board Certified Specialist in Real Property Law: Residential, Business, Commercial, and Industrial Transactions. Mr. Galt has a great deal of experience representing clients involved with real estate, providing a full range of services for corporations, limited liability companies, partnerships, unincorporated associations (including churhs), trusts and individuals in the acquisition, development and use of real property.

The firm provides the services necessary for clients interested in the purchase, sale, development and use of residential, commercial and industrial property. Mr. Galt's experience includes the development of commercial/office developments, shopping centers, commercial and residential condominiums and single family residences. The firm works with surveyors, environmental engineers, and wetland specialists in preparing due diligence surveys on properties to be purchased or financed. Our comprehensive services include the following areas:
